Introduction

Welcome to Kyla Dukes Designs LLC!

We are a creative design studio specializing in providing custom graphic design services tailored to help businesses amplify their brand identity. From innovative logos to engaging marketing materials, our mission is to empower brands with compelling visuals that resonate with their audiences and leave a lasting impact.

These Terms and Conditions govern the use of our services and outline the agreement between Kyla Dukes Designs LLC and our clients. By working with us or accessing our services, you agree to comply with these terms, ensuring a smooth and transparent collaboration.

Down Payment

  • A 25% non-refundable deposit is required before starting any project. This secures your place in our schedule and ensures commitment to the project.

  • For larger projects, payments may be split into milestones: 40% upfront, 50% at a defined milestone, and the remaining 10% upon completion.

  • For smaller or fixed-price services, such as business card designs or quick logo tweaks, 100% payment upfront is required.

Final Payment

The remaining balance is due upon project completion and before the delivery of the final files.

Late Payments

Late payments may incur a fee of [2% per day/week] after the agreed due date.

Rush Fee

Any project that results in a turnaround time under 5 days shall result in a 50% rush fee on top of your original total.

Estimates

The fees and estimates shown are minimum estimates only. Final fees and expenses shall be shown when the invoice is rendered. The Client’s approval shall be notified for any increases in fees or expenses that exceed the original estimate.

Revisions / Changes

Clients are entitled to three (3) rounds of revisions per the project scope. Allow 24-48 hours for edits.

Additional Revisions:

  • Beyond the included three rounds will incur an extra charge of [Insert Amount or Percentage] per round.

Revisions must be requested within [X days/weeks] of receiving the initial draft or deliverable. The Client has 10 days to respond to revisions. If not met, this will result in a $50 per day fee.

Ownership

All preparation materials, sketches, and visuals, including the electronic files used to create the project, remain the property of Kyla Dukes Designs.

  • Client Rights: Upon full payment, ownership of final deliverables is transferred to the client.

  • Designer Rights: We retain the right to display completed work in portfolios, marketing materials, and case studies unless explicitly requested otherwise by the client in writing.

  • Preliminary Work: Drafts, concepts, and unused designs remain the intellectual property of Kyla Dukes Designs, LLC.

  • Kyla Dukes Designs will not disregard any client assets entrusted during the project. However, Kyla Dukes Designs is not responsible for the loss or damage of assets after final delivery.

Confidentiality

We commit to keeping all client-provided materials and information confidential. Files, data, or proprietary information will not be shared or used outside the scope of the project without prior consent.

Third-Party Tools

We may use third-party tools (e.g., Figma, Adobe Creative Cloud) as part of the design process. By agreeing to these terms, the client acknowledges that these tools are subject to their own privacy and terms of service policies.

Deadlines and Client Responsibilities

  • Project timelines depend on timely feedback and asset submission from the client.

  • Delayed responses or missing assets may result in extended deadlines.

Data Storage and Retention

Final files will be stored securely for [X months/years] after project completion. After this period, we are not responsible for retaining project data unless otherwise agreed upon.

Suspension / Cancellation

Kyla Dukes Designs, LLC reserves the right to suspend any project if the Client interferes with excessive micromanaging, demonstrates a continued lack of trust, and inability to move forward after showing more than a reasonable number of unique ideas/concepts, and/or shows reluctance in paying the final payment.

The Client reserves the right to suspend or cancel any project should the work completed not meet project objectives as defined in the initial planning phases or if the customer service experience does not meet clearly defined expectations.

Fair notice will be given by either party with a fair chance to remedy the situation without resorting to project suspension or cancellation. In the event the project is canceled, a cancellation fee for work completed to date, based on the contract price and expenses already incurred, shall be paid by the Client. Suspension or cancellation of the project will not result in any refunds, and ownership of all original artwork shall be retained by Kyla Dukes Designs, LLC.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of New Jersey. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of New Jersey.

Acceptance of Terms

By engaging Kyla Dukes Designs LLC for services, you agree to these Terms and Conditions.
